1. Scope
These Terms of Service (the "Terms") govern your use of SiteClinic (the "Service"), operated by Sagbrain Global, Inc. ("we", "us"). By accessing or using the Service you agree to these Terms.
2. The Service
The Service performs automated AI diagnosis of a public website URL across five pillars — accessibility, SEO, security, privacy, and performance — and matches you with qualified web agencies based on the diagnostic results.
3. Accounts
- You must provide accurate and current information when creating an account.
- You are responsible for keeping your password confidential.
- You must be at least 18 years old to use the Service.
4. Prohibited use
- Scanning websites you do not own or have explicit permission to scan, particularly for the purpose of vulnerability discovery.
- Attempting to bypass rate limits, SSRF defences, or scanner sandboxing.
- Using information obtained from the Service for malicious purposes or to harm third parties.
- Scraping or reverse-engineering the Service to build a competing product.
- Manipulating agency marketplace reviews or matching outcomes.
5. Fees & payment
Paid plans are billed according to the prices listed on the Pricing page, processed via Stripe. Prices are exclusive of tax. You may cancel at any time; we do not refund partial periods except within 7 days of your first charge.
6. Intellectual property
All content, software, and design of the Service are owned by us or our licensors. You retain ownership of data you submit (e.g., URLs you scan), and grant us a non-exclusive licence to process that data for the purpose of providing the Service and producing aggregate, anonymised statistics.
7. Termination
You may cancel your account at any time. We may suspend or terminate accounts that violate these Terms without prior notice.
8. Disclaimer
The Service is provided "as is." Diagnostic results are produced by automated AI and are not a substitute for professional legal or technical advice. We are not liable for decisions you make based on the diagnostic output.
9. Limitation of liability
Our aggregate liability is limited to the amount you paid us in the 12 months preceding the claim. To the maximum extent permitted by law, we are not liable for indirect, special, or consequential damages or lost profits.
10. Changes
We may revise these Terms from time to time. Material changes will be communicated by email or in-app notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
11. Governing law
These Terms are governed by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction over any disputes arising from or relating to the Service.
